Terms for Content Creators

1. Content Uploading and Ownership

• Ownership: As a Creator, you retain any ownership rights to the content that you produce and upload to Poaflix. Poaflix does not claim ownership of your original videos or other creative works. You are free to use your content for your own purposes outside the platform, subject to any separate agreements you may have with Poaflix (for example, if you entered an exclusive content deal, that would be governed by a separate contract).
• License to Poaflix: By uploading or posting content on Poaflix, you hereby grant Poaflix a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, stream, reproduce, distribute, modify (for technical adaptations, e.g. for different formats or devices), publicly display, publicly perform, and otherwise use your content in connection with providing the Service and Poaflix's business operations. kids.youtube.com. This license includes the right for Poaflix to use your content for promotional purposes of the Service, and to generate revenue (such as through subscriptions or advertising) from your content.
• License to Other Users: You also grant each user of Poaflix a limited, non-exclusive, royalty-free license to access and view your content through the Service (via streaming or any interactive features of the platform) for their personal, non-commercial use. kids.youtube.com. In other words, you allow Poaflix subscribers to watch your videos. This does not grant other users any rights to download or use your content outside of Poaflix.
• Duration of License: The above licenses persist for as long as your content is available on Poaflix and for a commercially reasonable period after you remove the content or your account is terminated. If you remove your content from Poaflix, or if your account is deleted, Poaflix will stop displaying or providing access to it after a reasonable time needed to process the removal. However, you acknowledge that Poaflix may retain backup copies for a period of time (but not display or exploit them), and that if your content has been distributed to users or integrated into platform features, those uses cannot always be fully undone.
• Content Removal by Creator: You may request removal of your content from Poaflix at any time (assuming no separate agreement requires it to remain for a fixed term). Removing your content will generally cease its availability to viewers within a reasonable timeframe. Note that if any users have downloaded your content for offline viewing (if such feature is available), or if your content has been shared (within the Service) or included in user playlists, those instances may persist until synced or cleared.
• Exclusive Content: If you choose to grant Poaflix an exclusive license to certain content (for example, Poaflix Originals or content under a special agreement), that exclusivity and any differing terms (such as higher revenue share or guaranteed payments) must be set out in a separate written contract. Unless otherwise specified, the license you grant here is non-exclusive, meaning you can also upload your content to other platforms.

2. Creator Responsibilities and Acceptable Content

• Original Works and Rights Clearance: You represent and warrant that you own or have obtained all necessary rights and permissions to the content you upload. This means any video, audio, music, images, footage, or other elements in your content either are your original work or you have licenses to use them. You must not upload any content that infringes the copyrights, trademarks, or other intellectual property rights of any third party. kids.youtube.com. • No Infringing or Illegal Content: You agree not to upload content that is illegal to possess or distribute in Tanzania or internationally, including but not limited to pirated material, child exploitation, extreme violence, or hate speech. Content that defames individuals, invades privacy, or violates any law (such as Tanzania's laws on pornography, hate speech, or national security) is strictly prohibited.
• Community Standards: Although Poaflix is primarily a professional content platform (similar to OTT streaming services), any interactive or user-generated aspects of your content (comments, descriptions, etc.) should adhere to basic community standards. Do not include messages in your videos that harass or bully, or content that is excessively vulgar or not suitable for the generally family-oriented focus of Poaflix. Poaflix may have Community Guidelines that provide more detail on what is acceptable, and you agree to familiarize yourself with and follow those guidelines.
• Compliance with Regulatory Requirements: If Tanzanian law or regulations (e.g., TCRA regulations on online content) require certain content to have approvals or classifications, you are responsible for complying. For example, if a film board rating or disclosure is needed for certain types of content, you should ensure that is obtained and displayed as required. Poaflix may assist with guidance, but primary responsibility lies with you as the content provider.
• No Harmful Code: You must not embed any malicious code, viruses, trackers beyond standard analytics, or any harmful elements in the content or metadata you upload. Any such behavior will lead to immediate termination of your account.

3. Content Usage Rights and Copyright

• Copyright Ownership: You retain copyright over your uploaded content. However, by making it available on Poaflix, you give us and our users the permissions described in Section 1 above to use it on our platform. kids.youtube.com kids.youtube.com. Poaflix may display your content, including by making copies on our servers, encoding it into streaming formats, and showing it to subscribers.
• Third-Party Copyright Claims: If Poaflix receives a notice that your content infringes someone's copyright or other rights (for example, a DMCA notice or a notice under Tanzanian law), Poaflix will investigate. We may remove or disable access to the challenged content to comply with the law and protect the platform. We will, where possible, notify you of such action and you may have an opportunity to respond or counter-claim if applicable. Repeat copyright infringement by a creator may result in account termination.
• Copyright Infringement Liability: You are solely responsible for the content you upload. Poaflix will not be liable for any intellectual property violations in content provided by you or other creators – the content provider bears that risk. youtube.com youtube.com. You agree that you have the rights to grant the license in Section 1 and that exercising those rights (by us or by users) will not infringe or violate any third-party rights. If you use any third-party content (e.g., music tracks, stock footage) in your uploads, it is your responsibility to secure necessary licenses.
• Takedown Policy: Poaflix reserves the right to take down any content that (a) violates these Terms or any law, (b) that may create liability for Poaflix or negatively affect the platform's standing (e.g., scandalous or highly objectionable content), or (c) is subject to an infringement claim or government/regulatory order. We may remove content at our discretion and will endeavor to notify you of the removal and reason, unless legal or security considerations prevent us from doing so. kids.youtube.com. • User Feedback: Viewers may have the ability to report or flag content they believe violates Poaflix guidelines or these Terms. Poaflix can review such reports and act accordingly. 4. Revenue Sharing and Payments

• Monetization Program: Poaflix's business model for creators is primarily subscription-based revenue sharing. Poaflix allocates 60% of subscription revenue into a creator revenue pool, and retains 40% for operational costs and company revenue. All creators who are part of the Poaflix monetization program will earn a share from this pool. Note: To be part of monetization, you may need to meet eligibility criteria (for example, being a verified creator, meeting a minimum content or subscriber threshold) as specified by Poaflix.
• Revenue Share Calculation: Poaflix uses an attribution model to distribute the creator pool fairly:
  • Referral Attribution: Poaflix provides each creator with unique referral links or codes. When a new user subscribes via your referral link, that subscription is attributed to you. A significant portion of the revenue pool is allocated in proportion to the number of new subscribers you brought in. For example, if you brought in Y new subscribers out of Z total new subscribers in a month, you would get (Y/Z) of the creator pool for that month.
  • Watch-Time Attribution: For subscribers who join without a referral link, Poaflix attributes revenue based on content viewership. We track how much each subscriber watches each creator's content. The remaining creator pool (after referral attributions, if any) is distributed based on watch-time share among creators. For instance, if your content accounts for 10% of the total watch time on the platform for a month among eligible subscribers, you might receive roughly 10% of the pool (subject to detailed internal formulas).
  • Fair Distribution: These models ensure that creators are rewarded for both bringing in new subscribers and for engaging viewers on the platform. The goal is a fair payout system where influence on subscriber growth and retention is rewarded, rather than a flat per-stream fee. (Detailed calculation methods may be provided in Poaflix's Creator Help Center or separate guidelines and are subject to refinement.)
• Payout Schedule: Creator earnings are calculated on a monthly cycle. Poaflix will typically finalize earnings for a month by the middle of the following month (to account for any processing such as fraud checks, adjustments, or subscription payment verifications). Payouts to creators are then issued on a regular schedule (e.g., monthly). Withdrawal Timeline: After your earnings are finalized, Poaflix will pay out your balance within a specified number of days (such as 15-30 days after month-end). The exact payout schedule (e.g., "net 30") will be communicated to you through the creator dashboard or agreement. We will use the payment method you have designated (such as bank transfer, mobile money, or other available options in Tanzania).
• Minimum Threshold: Poaflix may impose a minimum payout threshold (for example, TZS X or USD $50). If your earnings for a month do not meet the threshold, the amount may roll over to the next month until the threshold is reached. This is to avoid high transaction costs on very small payouts. You can track your accumulating balance in your creator account.
• Currency and Taxes: All earnings will generally be calculated in Tanzanian Shillings (TZS) or in USD and converted to TZS (depending on how Poaflix structures its payment system). You are responsible for any taxes owed on your earnings. Poaflix may deduct or withhold taxes from payments if required by Tanzanian law or any other applicable tax law (for example, withholding tax on royalties, if the law deems these payouts as royalties). We will provide you with necessary documentation of any such withholdings if required.
• Payment Fees: Poaflix will cover standard transaction fees for issuing your payment (e.g., bank transfer fees) unless otherwise specified. However, any fees charged by your own bank or payment provider on receiving funds are your responsibility. Also, if a payment is rejected due to incorrect details you provided, any re-processing fees may be deducted from your earnings.
• Adjustments and clawbacks: Poaflix reserves the right to adjust your earnings in cases of refunds, chargebacks, or fraud. For instance, if a subscriber used a stolen credit card and that payment is reversed, or if a subscriber cancels and is issued a refund in extraordinary circumstances, the portion of revenue that had been attributed to the creator pool from that subscription may be deducted from creators' earnings in the next cycle. We will do this fairly and transparently. Similarly, if Poaflix finds that views or subscribers were obtained fraudulently (e.g., bots or fake engagement), we may adjust the metrics and earnings accordingly.
• Earnings Dashboard: You will have access to analytics showing your referral sign-ups, watch-time, and estimated earnings. These are for your reference and may be subject to verification. Official earnings are confirmed at payout time.
• No Other Compensation: Outside of the described revenue-sharing program (and any specific bonus or referral programs below), you agree that you are not entitled to additional compensation for content you upload. You will not, for example, separately charge Poaflix for hosting your content or expect license fees beyond the shared revenue. The opportunity to earn from the collective subscription revenue is your compensation.

5. Referral Program and Bonus Models

• Referral Program: Poaflix encourages creators to grow the platform via referrals. Under the referral program, each creator is given a unique referral link or code as described above. Referral Bonus: In addition to the revenue share attribution, Poaflix may provide a direct bonus for referrals – for example, a one-time bonus for every subscriber you directly bring (or for hitting a target number of referred subscribers). The specifics (e.g., "earn TZS X for each new subscriber after they remain subscribed for 1 month") will be detailed in the referral program rules if applicable. The referral program is designed to attribute new subscription revenue to the creators who helped bring in those subscribers. Poaflix uses tracking mechanisms (and possibly AI models for "first-watch" attribution) to ensure that if your content influenced a user to subscribe, you get credit.
• Bonus (Gamification) Model: Poaflix offers a Creator Level Gamification system to reward high-performing creators. This system sets certain milestones (levels like Bronze, Silver, Gold, Platinum, Diamond, etc.) based on monthly views or other engagement metrics. When you achieve a level in a given month, you become eligible for a bonus on your base payout for that month. For example, if you reach "Gold" level by exceeding 100,000 monthly views, you might receive a 10% payout boost on top of your base earnings; at "Platinum" (e.g., 500,000+ views) maybe a 20% boost; and at "Diamond" (e.g., 1,000,000+ views) up to a 30% bonus on your payout. These percentages and thresholds are illustrative – Poaflix will maintain an updated schedule of the current bonus levels in the Creator Program documentation.
• Perks and Rewards: Along with monetary bonuses, higher tiers may come with additional perks. For instance, Poaflix might provide extra promotional support for Silver level and above (like featuring your content on the front page), special merchandise or VIP events for Gold/Platinum creators, or even exclusive branding opportunities for Diamond creators (such as an official "Poaflix Channel" spotlight and partnership deals). These perks are discretionary and subject to change, but are meant to incentivize and reward creators who contribute significantly to platform growth.
• Bonus Calculation: If you qualify for a bonus level, Poaflix will calculate your bonus as a percentage of your base payout for that month. Base payout means the amount you earned from the revenue share before applying the bonus. For example, if your base earning for the month is $1000 and you reached a level with a 10% bonus, your final payout would be $1100 (base $1000 + $100 bonus).
• Changes to Programs: Poaflix reserves the right to modify or discontinue the referral program or bonus model at any time, but any changes will not retroactively deprive you of bonuses already earned. We will notify creators of significant changes to these programs through the creator dashboard or registered email. These incentive programs are provided in good faith to help both Poaflix and creators succeed; any attempt to game or abuse the referral or bonus system (such as generating fake views or fraudulent sign-ups) is a serious breach of these Terms and can result in loss of earnings and account termination.
• Transparency: We aim to be transparent in how we attribute subscriptions and views. If you have questions or disputes about your referral count or view count, you can reach out to Poaflix for clarification. Our team may share some aggregated data to verify counts, but we may limit disclosure of detailed logs or algorithms for security and anti-fraud reasons.

6. Account Suspension and Termination

• Suspension: If you violate any of the provisions of these Terms (either Part I or Part II) or any applicable laws/regulations, Poaflix may suspend your creator account. Suspension may involve temporarily disabling access to your account or your content (making it unavailable to users) while we investigate the issue or while you take corrective action. We will notify you of the suspension and, if possible, provide the steps needed to resolve it. During suspension, you may not upload new content and your payouts might be put on hold pending resolution.
• Termination by Poaflix: Poaflix may terminate your creator account for serious or repeated violations. This includes, for example: repeated copyright infringement notices (repeat DMCA offender), fraud or manipulation of metrics, uploading forbidden content, or significant breach of the acceptable content rules. Termination means your account is closed and you are prohibited from creating a new one (without Poaflix's permission). All your content may be removed from the platform. Poaflix will attempt to pay out any outstanding legitimate earnings owed up to the termination date (minus any damages or costs incurred due to your breach, if applicable), but you will forfeit any future unaccrued earnings and bonuses.
• Termination by Creator: You are free to stop participating as a creator at any time. You can remove your content and/or ask Poaflix to close your creator account. (If you still have a viewer subscription account, that can remain active separately.) Keep in mind that per the license terms, Poaflix may retain copies of content for a time as needed for legal/archive purposes, but will not distribute it after termination. Also, consider that if you leave the platform, your fans on Poaflix will no longer see your content, so we suggest announcing or handling this transition thoughtfully.
• Effect on Subscribers: If your account is terminated or you remove content, Poaflix will display a message to users that the content is unavailable. We strive to maintain a stable library for subscribers, so we may also have a clause (in separate content license agreements) requiring advance notice if a creator intends to remove a large volume of content or leave the platform, to manage subscriber expectations. Absent such an agreement, you still have the right to leave, but giving us notice is appreciated.
• Appeals: If your account was terminated and you believe it was a mistake or that you have rectified the issues, you can appeal by contacting Poaflix support or a designated email for creator issues. We will, at our discretion, review appeals and decide whether to reinstate the account. However, Poaflix's decision in this regard is final. For less severe issues, we prefer a graduated approach (warning → temporary suspension → termination) rather than immediate termination, but serious violations (like egregious legal violations) may result in immediate termination without prior suspension.
• Surviving Obligations: Even after a creator account is terminated, certain obligations you agreed to survive. Notably, the license you granted for content continues for any period that content remains on the Service or as needed for archival/legal reasons, and the Indemnity and Limitation of Liability provisions survive indefinitely.

7. Indemnification

As a content creator, you agree to assume responsibility for your content and its consequences. To the extent permitted by law, you agree to defend, indemnify, and hold harmless Poaflix, its parent company (Pilipili Entertainment), affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content (including any claim that your content infringed someone's rights or caused harm), (b) your use of the Service in breach of these Terms, (c) any breach of your representations and warranties (such as the promise that you have all necessary rights to your content), or (d) your violation of any law or third-party rights. kids.youtube.com. This indemnification obligation means you will pay for any cost incurred by Poaflix due to your actions or content, to the fullest extent of the law. Poaflix will try to notify you promptly of any such claim and may allow you to control the defense, but we reserve the right to participate in the defense with counsel of our choice (at our expense) if we deem necessary.

8. Miscellaneous

• Relationship: Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, or agency relationship between you and Poaflix. As a creator, you are an independent content provider. You are not an employee of Poaflix, and these Terms do not constitute an employment or exclusive contractor arrangement.
• Intellectual Property (Poaflix Marks): While you retain your content IP, the Poaflix name, logo, and all related trademarks and service marks are the property of Poaflix or its affiliates. Any use of Poaflix's trademarks in your content or marketing must be pre-approved in writing by Poaflix and in line with any brand guidelines. You cannot imply an official partnership or endorsement by Poaflix without permission (beyond stating you are a creator on the platform).
• Changes to Terms: Poaflix may modify these Terms from time to time, for example to reflect changes in our service or for legal reasons. kids.youtube.com. The updated Terms will be posted with a new effective date. Continued use of the Service after changes become effective constitutes acceptance of the new Terms. • Entire Agreement: These Terms (including Part I and Part II) and any documents incorporated by reference (like the Privacy Policy, Community Guidelines, or specific program terms) constitute the entire agreement between you and Poaflix regarding the Service. They supersede any prior agreements or understandings, whether written or oral, regarding the same subject matter. Any additional written agreement you have with Poaflix (for example, a content license agreement or an ad partnership) will coexist with these Terms; if there is a direct conflict, the specific agreement may override these general Terms where stated.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remainder of the Terms will remain in full force and effect. kids.youtube.com.
• No Waiver: Poaflix's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. kids.youtube.com. Any waiver must be in writing to be effective, and one instance of waiver does not imply any future waivers.
• Assignment: You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from Poaflix. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law. We will notify you if such assignment results in a change in the entity responsible for providing the Service to you.
• Notices: Poaflix may send you notices, including changes to these Terms or other important information, by email to the address associated with your account, through notifications within the Service, or by other reasonable means. You are responsible for keeping your contact information up to date. Any notices you send to Poaflix must be sent to our official contact address or email as listed on the platform (or in these Terms).
